Unilateral Sales Policy
Effective February 17, 2017
HP TUNERS, LLC (“HPT”) is a manufacturer of high quality products for the automotive industry. This high level of quality is a result of significant investment in engineering, software and hardware technology. In an effort to maintain its position as a leader in this market, as well as to allow for its Authorized Resellers to effectively sell HPT products, HPT hereby adopts this Unilateral Sales Policy on its products.
Only Authorized Resellers are allowed to resell HPT Products. HPT and Authorized Resellers shall not sell at a discount to an entity that sells HPT hardware for less than retail price, in a retail setting, or HPT credits for less than 95% of retail, in a retail setting.
HPT reserves the right from time to time to alter, modify, suspend, or cancel this Unilateral Sales Policy, the products covered, and/or the minimum advertised prices. HPT reserves the right to determine whether an Authorized Reseller has violated this Unilateral Sales Policy. Upon such determination HPT may, without assuming any liability, cancel all orders and indefinitely refuse to accept new orders from the Authorized Reseller.
This policy has been unilaterally adopted by HPT. HPT neither solicits nor will it accept assurances by an Authorized Reseller of acquiescence with this policy. Nothing in this policy shall constitute an agreement between HPT and any Authorized Reseller of compliance with this policy. The Authorized Reseller within its own discretion can choose to acquiesce or not acquiesce with this policy. HPT will not discuss conditions of acceptance related to this policy. This policy is non-negotiable and will not be altered, modified, or amended for any Authorized Reseller.
